Terms of Service

1. About this agreement

These Terms of Service (“Terms”) govern your access to and use of Ambix (“the Service”), operated by Ambix (“we”, “us”, “our”). By creating a workspace or using the Service, you agree to these Terms.

If you are creating a workspace on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and “you” refers to that organisation.

2. What the Service is — and is not

Ambix is an AI-native product management tool that helps teams structure strategy, roadmaps, and product work. It uses artificial intelligence to assist with analysis, synthesis, and content generation.

The Service is currently in early access. This means:

  • Features may change, be added, or be removed without prior notice
  • We do not guarantee uninterrupted availability or error-free operation
  • No service level agreement (SLA) applies during early access
  • The Service is not intended for use in safety-critical, medical, legal, or regulated decision-making contexts where errors could cause harm

We will make reasonable efforts to maintain availability and notify users of significant changes, but early access users should plan accordingly.

3. AI-generated content

The Service is designed to be used with AI clients that connect via the Model Context Protocol (MCP). The AI client you use to interact with the Service is a separate product, governed by that provider’s own terms of service and privacy policy. Ambix does not control, and is not responsible for, the AI client or the models used to interact with the Service.

You acknowledge and agree that:

  • AI-generated content is not guaranteed to be accurate, complete, or fit for any particular purpose. It may contain errors, omissions, or outputs that are misleading or inappropriate for your context.
  • You are solely responsible for how you use AI-generated content, including any product decisions, strategic choices, or communications based on it.
  • Ambix does not review, validate, or endorse any specific AI output.
  • Data you submit via an AI client may be processed by that client’s underlying systems. You are responsible for reviewing the terms and privacy policy of the AI client you choose to use.

No output from the Service should be treated as professional advice — legal, financial, technical, or otherwise — without independent verification.

4. Workspace responsibility

Access to the Service is organised around workspaces. The person who creates a workspace (“Workspace Owner”) is responsible for:

  • All activity that occurs within that workspace, regardless of who performs it
  • Deciding who is invited to the workspace and ensuring those individuals comply with these Terms
  • All content created, uploaded, or shared within the workspace

Ambix does not charge per seat. The Workspace Owner may invite any number of members. This does not reduce the Workspace Owner’s responsibility — it expands it.

If a member of your workspace violates these Terms, you, as Workspace Owner, are responsible for that violation.

5. Your data

You retain ownership of all content, data, and information you submit to the Service (“Your Content”).

By using the Service, you grant Ambix a limited, non-exclusive licence to process Your Content solely for the purpose of providing and improving the Service. We do not sell Your Content to third parties.

To deliver the Service, we use third-party infrastructure and service providers (sub-processors) such as hosting and database providers. An up-to-date list of sub-processors is available upon request. We require sub-processors to handle data in a manner consistent with these Terms and applicable law.

You are responsible for ensuring that Your Content does not violate any applicable laws or third-party rights.

6. Data Processing Agreement

The Service is designed for use cases that may include personal data about third parties — such as meeting transcripts, customer insights, or team communications submitted for analysis. Ambix therefore acts as a data processor on your behalf for such content, and these Terms incorporate the following data processing terms in accordance with Article 28 GDPR.

6.1 Scope and purpose

Ambix will process personal data contained in Your Content solely to deliver the Service as described in these Terms and our Privacy Policy. We will not process such data for any other purpose without your instruction.

6.2 Your obligations as data controller

As Workspace Owner, you are the data controller for any personal data you submit to the Service. You are responsible for ensuring you have a lawful basis for that processing and that affected individuals have been informed appropriately.

6.3 Our obligations as data processor

Ambix will:

  • Process personal data only on your documented instructions
  • Ensure that personnel authorised to process personal data are bound by confidentiality
  • Implement appropriate technical and organisational security measures
  • Not engage new sub-processors without informing you (see Section 5 and our Privacy Policy)
  • Assist you in responding to data subject rights requests where technically feasible
  • Delete or return personal data upon termination of the Service relationship, at your choice
  • Provide all information reasonably necessary to demonstrate compliance with this section

6.4 Sub-processors

Ambix uses sub-processors to deliver the Service. A current list is available upon request. We will notify Workspace Owners of material changes to our sub-processor list with reasonable advance notice.

6.5 International transfers

Personal data is stored within the European Union. Should any transfer outside the EU become necessary, we will ensure it is subject to appropriate safeguards under GDPR (such as Standard Contractual Clauses).

6.6 Security incidents

In the event of a personal data breach affecting Your Content, we will notify you without undue delay and no later than 72 hours after becoming aware, providing sufficient information for you to meet your own notification obligations.

7. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Upload or transmit content that is unlawful, harmful, defamatory, or infringes third-party rights
  • Attempt to gain unauthorised access to the Service or other users’ workspaces
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, copy, or create derivative works of the Service

8. Limitation of liability

To the fullest extent permitted by applicable law:

  • The Service is provided “as is” and “as available”, without warranties of any kind, express or implied
  • Ambix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
  • During early access, where no fees are charged, Ambix’s total liability to you for any claim arising from these Terms or the Service shall not exceed €100. This cap reflects the nature of a free, pre-commercial service and will be revised when a paid tier is introduced.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

9. Suspension and termination

We may suspend or terminate your access to the Service, or to a specific workspace, if:

  • You breach these Terms
  • We are required to do so by law
  • We discontinue the Service

We will make reasonable efforts to give prior notice where possible, except where immediate action is necessary. You may stop using the Service at any time.

10. Changes to these Terms

We may update these Terms from time to time. When we do:

  • We will publish the updated Terms at ambix.ai/terms with a new effective date
  • For material changes — such as changes to data handling or liability — we will notify Workspace Owners via email or in-product notification
  • Continued use of the Service after the effective date constitutes acceptance of the updated Terms

We recommend Workspace Owners review these Terms periodically.

11. Governing law

These Terms are governed by the laws of Sweden. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sweden, without regard to conflict of law principles.
